What You Receive After UK Ltd Registration
After registration, Companies House assigns the company its own number and issues a Certificate of Incorporation. The certificate states the name, company number and incorporation date. A UK Ltd also uses Articles of Association and information on issued shares and shareholders.
Do offshore companies exist in England? Yes and no. In practice, with certain components an English company can be turned into an “offshore” structure, that is, a structure with zero taxation, without any breach of law. Usually this is done by registering an English company as an LLP or LP partnership, but only when the founders of that partnership are offshore companies. For example, two Marshall Islands offshore companies establish a partnership in England. Legally, such a structure is lawful, although banks do not always approve it.
The statement of capital shows the number of shares by class, their nominal value and the total stated capital. A standard company can be formed with small capital; for special projects we also register a UK Ltd with capital from £1,000,000 when that amount must be shown in the company documents.
A new company is suitable for contracts, invoices, a website, domain and bank account. The account does not have to be opened only in the United Kingdom: for payments in EUR, PLN, CZK, CHF, SGD, HKD or USD, a bank in the country where the buyers, suppliers or director are located is often more convenient.
